MY PROFIT PLANNER TERMS AND CONDITIONS
Last Updated: September 2026
These Terms and Conditions (“Terms”) are an agreement between Grow CPA LLP (“Grow CPA”, “we”, “us” or “our”) and the individual or business purchasing My Profit Planner (“you” or “your”).
By purchasing My Profit Planner, checking the box confirming your acceptance of these Terms, and completing payment, you acknowledge that you have read, understood and agreed to be bound by these Terms.
1. What You Are Purchasing
My Profit Planner (“MPP” or the “Product”) is a digital business planning tool created by Grow CPA.
Your purchase includes:
• a My Profit Planner template for use in Google Sheets; and
• access to instructional videos or other training materials made available by Grow CPA.
MPP is designed to help small business owners create simplified financial projections using assumptions they enter about their business, including anticipated revenue, expenses, profit and cash flow.
MPP is a planning and educational tool. It is not accounting software, a bookkeeping system, a tax calculator, a financial statement, or a substitute for professional accounting, tax, legal, financial or business advice.
2. Who My Profit Planner Is Designed For
MPP is intended for businesses with relatively simple financial planning needs.
It may be used by sole proprietors, corporations and other small businesses where a simplified planning model is appropriate.
MPP may not be appropriate where a business requires more detailed or complex financial modelling, including, for example:
• significant or complex inventory planning;
• multiple entities or complicated intercompany transactions;
• complex financing arrangements;
• detailed debt or loan modelling;
• significant capital purchases;
• complex payroll structures;
• detailed tax modelling;
• sophisticated cash-flow forecasting;
• complex foreign currency activity; or
• other financial planning requirements that cannot reasonably be captured through a simplified spreadsheet model.
It is your responsibility to determine whether MPP is appropriate for your business and planning needs.
3. Google Sheets Requirement
MPP is designed for and must be used in Google Sheets.
MPP is not supported in Microsoft Excel or other spreadsheet software.
Grow CPA is not responsible for errors, loss of functionality, altered formulas or other issues that result from opening, converting or using the template in unsupported software.
You are responsible for maintaining access to a compatible Google account and complying with Google’s applicable terms and conditions.
4. Your Assumptions and Inputs
MPP produces projections based on the assumptions and information you enter.
You are responsible for selecting and entering those assumptions, including expected revenue, expenses and other financial information.
Grow CPA does not independently verify whether your assumptions are:
• accurate;
• complete;
• realistic;
• achievable;
• appropriate for your industry; or
• appropriate for your business circumstances.
The quality and usefulness of any projection generated through MPP depends on the quality and reasonableness of the assumptions you enter.
5. Projections Are Not Predictions or Guarantees
Any financial information produced through MPP is a projection only.
MPP does not predict future results, and Grow CPA does not guarantee that the amounts shown in your plan will occur.
Actual results may differ materially from projected results due to factors including:
• changes in sales or customer demand;
• unexpected expenses;
• timing differences in receipts and payments;
• changes in staffing or payroll costs;
• financing arrangements;
• capital purchases;
• taxes;
• economic conditions;
• changes in your business operations; and
• other events not reflected in your assumptions.
You should review and update your projections as your actual circumstances change.
6. Profit and Cash Flow
MPP may help illustrate the relationship between revenue, expenses, profit and expected cash movements.
However, MPP is a simplified planning tool and is not intended to produce a comprehensive or professionally prepared cash-flow forecast.
Profit and cash in the bank are not the same thing, and certain transactions may affect cash without affecting profit, or affect profit without having the same immediate impact on cash.
MPP may not capture every timing difference, financing transaction, capital transaction, tax payment, owner withdrawal or other item relevant to your actual cash position.
You remain responsible for monitoring your actual bank balances and financial obligations.
7. Taxes
MPP does not calculate your income tax, GST/HST, payroll taxes or other tax obligations.
Any tax-related amounts you choose to include in your planning assumptions are your responsibility.
You should not rely on MPP to determine how much tax you owe, how much tax you should remit or how much you are required to save for tax purposes.
Where tax planning or tax calculations are required, you should consult an appropriate tax or accounting professional.
8. General Planning Suggestions
MPP or its related training materials may include general suggestions, prompts, examples or planning tips intended to help you think about your business goals and financial plan.
These suggestions are educational and general in nature.
They are not individualized recommendations and do not take into account all facts, risks, opportunities or circumstances relevant to your business.
You are responsible for deciding whether and how to act on any suggestion generated by or included with MPP.
9. No Professional Services Engagement
Purchasing or using MPP does not create a professional services engagement with Grow CPA.
Your purchase does not include individualized:
• accounting services;
• bookkeeping services;
• tax advice;
• financial advisory services;
• business advisory services; or
• professional assessment of your projections or assumptions.
Although Grow CPA LLP is a professional accounting firm and members of our team hold Chartered Professional Accountant designations, information contained in MPP or its training materials is general and educational in nature.
A professional engagement with Grow CPA exists only where Grow CPA and a client have separately agreed to the scope and terms of that engagement.
10. Technical Support
Your purchase includes reasonable technical and troubleshooting support relating to the operation of MPP.
For example, we may assist with:
• accessing the Product;
• using the template as designed; or
• resolving an apparent technical issue with the template.
Technical support does not include:
• preparing your financial plan for you;
• reviewing or assessing your assumptions;
• interpreting your financial information;
• analyzing your business performance;
• evaluating business decisions;
• bookkeeping services;
• tax calculations;
• accounting services;
• financial advisory services; or
• individualized business advice.
Questions requiring Grow CPA to interpret your financial information, assess your assumptions, evaluate business decisions or provide individualized professional advice are outside the scope of the Product and may require a separate professional engagement.
11. Separate Professional Services
If you later ask Grow CPA to:
• assess whether your assumptions are reasonable;
• analyze your projections;
• build or revise a financial plan for you;
• interpret your actual financial results;
• advise on business decisions;
• perform tax planning; or
• provide individualized accounting, tax, financial or business advice,
that work is outside the scope of MPP.
Any such work may require a separate engagement with its own scope, fees and terms.
Grow CPA is not required to provide additional professional services solely because you purchased MPP.
12. Updates
Your purchase is for the version of MPP provided to you at the time of purchase.
Grow CPA does not promise or undertake to provide future versions, upgrades, enhancements or updates to MPP.
You may continue using your copy of MPP for as long as it remains functional for your purposes.
13. Instructional Materials
Instructional videos and other hosted educational materials may be delivered through links provided by email or through online platforms controlled by Grow CPA or third-party providers.
You may access those materials for as long as Grow CPA continues to host and make them available.
Purchase of MPP does not include a promise of permanent or lifetime access to hosted instructional materials.
Grow CPA may update, replace, relocate or discontinue hosted instructional materials in the future without being required to provide an alternative copy.
Your right to continue using the MPP Google Sheets template you have copied into your own Google account is separate from your access to hosted training materials.
14. Your Data and Google Account
Your working copy of MPP is maintained within your own Google account.
Grow CPA does not have access to the financial information, projections or assumptions you enter into your personal copy of MPP unless you separately and intentionally provide that information to us.
You are responsible for maintaining, securing and backing up:
• your Google account;
• your MPP file; and
• any related business information.
Grow CPA is not responsible for loss of data or access resulting from your Google account, accidental deletion, unauthorized access, changes made by you or your team, a third-party service failure or any other event outside Grow CPA’s reasonable control.
Any personal information Grow CPA collects directly from you in connection with your purchase, payment, support requests or communications will be handled in accordance with our applicable privacy practices and legal obligations.
15. Licence and Permitted Use
Your purchase gives you a limited, non-exclusive, non-transferable licence to use MPP for one business only.
You may allow your employees or contractors to access and use MPP where they are doing so solely for the internal planning or administration of that same business.
Your purchase does not transfer ownership of MPP or any of Grow CPA’s intellectual property to you.
You may not:
• use one purchase of MPP for more than one business;
• provide MPP to another business;
• share, sell, sublicense, redistribute or give away the Product;
• publish or make the Product publicly available;
• reproduce MPP for resale or distribution;
• remove Grow CPA ownership or copyright notices;
• use MPP to provide bookkeeping, accounting, consulting, coaching or other services to clients or third parties; or
• use one copy of MPP across multiple clients or businesses.
Bookkeepers, accountants, consultants, coaches and other service providers may not purchase one copy of MPP and use or reproduce it for their clients.
A separate purchase and licence is required for each business using MPP.
All intellectual property rights in MPP, its design, formulas, training materials, videos and related materials remain the property of Grow CPA LLP or its licensors.
16. Changes to the Template
MPP contains formulas and other functionality designed to work together.
Although you may enter information and use customization features intentionally provided within the Product, changing formulas, protected areas, structure or other underlying functionality may cause the Product to operate incorrectly.
Grow CPA is not responsible for errors, inaccurate projections or loss of functionality resulting from changes made by you or another person to the Product.
Technical support may not be available for a copy of MPP that has been materially altered from its original design.
17. Fees and Refunds
The purchase price is the amount shown at checkout and is charged in Canadian dollars unless otherwise expressly stated.
Because MPP is a digital product and access is provided following purchase, all sales are final and no refunds are provided, except where a refund or other remedy is required by applicable law.
We encourage you to review the Product description and these Terms carefully before purchasing.
If you experience a technical issue with the Product, please contact Grow CPA so that we can reasonably attempt to troubleshoot the issue.
18. No Guarantee of Business or Financial Results
Grow CPA does not guarantee that use of MPP will result in:
• increased revenue;
• increased profit;
• improved cash flow;
• a particular bank balance;
• achievement of a revenue or profit target;
• reduced expenses;
• increased owner compensation;
• improved business performance; or
• any other specific financial or business outcome.
Any decision you make based on your MPP plan remains your responsibility.
19. Disclaimer and Limitation of Liability
To the fullest extent permitted by applicable law, MPP and the related training materials are provided on an “as is” and “as available” basis without warranties or guarantees of any kind, express or implied.
Grow CPA is not responsible for losses resulting from:
• inaccurate, incomplete or unrealistic assumptions entered into MPP;
• reliance on projected revenue, expenses, profit or cash flow;
• decisions made based on information generated by or contained in MPP;
• use of MPP for financial planning needs that are more complex than the Product is designed to address;
• modification of the Product;
• failure to monitor actual financial results or cash balances;
• loss or corruption of data; or
• interruption or discontinuation of third-party platforms.
To the fullest extent permitted by applicable law, Grow CPA will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunity, anticipated savings, data or goodwill arising from or related to your purchase or use of MPP.
To the fullest extent permitted by applicable law, Grow CPA’s total aggregate liability arising out of or relating to MPP or these Terms will not exceed the amount you paid to Grow CPA for your purchase of MPP.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Indemnity for Unauthorized Use
You agree to indemnify and hold Grow CPA LLP and its partners, employees and contractors harmless from third-party claims, losses, damages and reasonable costs arising directly from:
• your unauthorized sale, distribution, sharing or reproduction of MPP;
• your use of MPP to provide services to third parties in violation of these Terms; or
• your infringement of Grow CPA’s intellectual property rights.
21. Termination for Breach
If you materially breach these Terms, including the licence and intellectual property restrictions, Grow CPA may terminate your right to access any hosted components of MPP, including training materials and support.
Termination does not transfer or reduce Grow CPA’s intellectual property rights and does not prevent Grow CPA from pursuing any remedy available under applicable law for unauthorized reproduction, distribution or use of the Product.
22. Third-Party Services
MPP relies on third-party technology, including Google Sheets and platforms that may be used for payment processing, email delivery or video hosting.
Grow CPA does not control these third-party services and cannot guarantee their continued availability, compatibility, security or functionality.
Your use of third-party services is also subject to the applicable provider’s own terms and policies.
23. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Subject to any rights or remedies that cannot lawfully be restricted, disputes arising from these Terms or MPP will be subject to the jurisdiction of the courts of Ontario.
Before commencing court proceedings, the parties agree to make reasonable good-faith efforts to resolve the dispute directly.
24. General Terms
Entire Agreement. These Terms, together with the information presented at checkout, form the agreement between you and Grow CPA relating to your purchase and use of MPP.
No Assignment. You may not transfer or assign your rights under these Terms to another person or business without Grow CPA’s prior written consent.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
No Waiver. A failure by Grow CPA to enforce any provision of these Terms does not waive our right to enforce it later.
Survival. Provisions relating to intellectual property, payment, disclaimers, limitation of liability, indemnity and any other provisions that by their nature should continue will survive termination of these Terms.
25. Changes to These Terms
Grow CPA may update these Terms from time to time for future purchases or continued access to hosted components of MPP.
The Terms accepted by you at the time of purchase will govern your purchase and licence to the version of MPP you received, unless a change is required by law or you expressly agree to updated terms.
Changes to these Terms do not create an obligation for Grow CPA to provide updates or future versions of MPP.
26. Electronic Acceptance
By checking the box confirming that you have read and agree to these Terms and completing your purchase, you accept and agree to be bound by these Terms.
No separate handwritten or electronic signature is required unless Grow CPA requests one for a separate professional engagement.
27. Contact
Questions about MPP, these Terms or technical support may be directed to Grow CPA LLP using the contact information provided on our website.
