MY DIGITAL BOOKKEEPER TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) are an agreement between Grow CPA LLP (“Grow CPA”, “we”, “us” or “our”) and the individual or business purchasing My Digital Bookkeeper (“you” or “your”).
By purchasing My Digital Bookkeeper, checking the box confirming your acceptance of these Terms, and completing payment, you acknowledge that you have read, understood and agreed to be bound by these Terms.
1. What You Are Purchasing
My Digital Bookkeeper (“MDB” or the “Product”) is a digital bookkeeping tool created by Grow CPA.
Your purchase includes:
• a My Digital Bookkeeper template for use in Google Sheets; and
• access to instructional videos and related training materials made available by Grow CPA.
MDB is intended to provide a simple way for eligible Canadian small businesses to record bookkeeping transactions and view certain financial information based on the data entered into the template.
MDB is a bookkeeping ledger and educational tool. It is not a replacement for accounting software or professional bookkeeping, accounting or tax services where the nature or complexity of your business requires those services.
2. Who My Digital Bookkeeper Is Designed For
MDB is intended for Canadian small businesses with relatively simple bookkeeping needs.
MDB may not be appropriate for businesses with more complex accounting or reporting requirements, including, for example, businesses with:
• significant or complex inventory;
• multiple entities or complicated intercompany transactions;
• trust or client funds;
• complex payroll requirements;
• significant or complex foreign currency activity;
• complex corporate accounting requirements; or
• other transactions or reporting requirements that cannot reasonably be captured through a simple bookkeeping ledger.
MDB is not intended for businesses operating in Quebec.
It is your responsibility to determine whether MDB is appropriate for your business. If you are unsure, we encourage you to contact Grow CPA before purchasing or consult with an appropriate accounting or bookkeeping professional.
3. Google Sheets Requirement
MDB is designed for and must be used in Google Sheets.
MDB is not supported in Microsoft Excel or other spreadsheet software.
Grow CPA is not responsible for errors, loss of functionality, altered formulas or other issues that result from opening, converting or using the template in unsupported software.
You are responsible for maintaining access to a compatible Google account and complying with Google’s applicable terms and conditions.
4. Your Responsibility for Your Bookkeeping
You are responsible for the bookkeeping records of your business and for all information entered into MDB.
The accuracy and usefulness of MDB depend on the completeness and accuracy of the information you enter, including how transactions are recorded and categorized.
You are responsible for:
• entering complete and accurate information;
• correctly categorizing transactions;
• reviewing your bookkeeping records for errors or omissions;
• retaining invoices, receipts and other supporting documentation as required;
• verifying applicable sales tax and income tax rates;
• determining and updating tax rates within MDB when required; and
• reviewing information generated by MDB before relying on it for bookkeeping, tax, business or financial purposes.
Grow CPA does not review, verify, audit or approve the information you enter into your copy of MDB as part of your purchase of the Product.
5. GST/HST and Other Sales Tax Information
MDB includes tools that may assist you in tracking GST/HST or other applicable sales taxes and estimating amounts that may be payable or remittable.
Any sales tax amounts generated by MDB are based on the information and tax rates entered into the template. They are intended to assist with bookkeeping and planning only.
They are not a determination by Grow CPA of your actual tax liability or filing obligation.
Tax rules and rates can change and may apply differently depending on your business, transactions and circumstances.
You are responsible for confirming that the applicable tax rates and treatment are correct and for reviewing any amount before filing a return or making a remittance.
Where appropriate, you should confirm your GST/HST or other sales tax obligations with an accountant, tax advisor or the applicable tax authority.
6. Income Tax Estimates and Tax Preparation
MDB may provide information or calculations that can assist you in estimating and saving for income taxes and organizing information for tax preparation.
These amounts are estimates only.
MDB does not prepare your income tax return, determine your final taxable income or calculate your final income tax liability.
The information generated by MDB should not be relied upon as a substitute for a properly prepared tax return or individualized tax advice.
Your actual tax liability may differ significantly from an estimate produced using MDB due to deductions, credits, other sources of income, corporate or personal circumstances, changes in tax law and other factors not captured by the Product.
You remain responsible for the preparation and filing of all tax returns and for confirming the accuracy and completeness of the information used for tax purposes.
7. Foreign Currency Transactions
MDB records are maintained in Canadian dollars.
If your business has transactions in U.S. dollars or another foreign currency, you must determine the appropriate Canadian-dollar equivalent and enter the Canadian-dollar amount into MDB.
Training materials may demonstrate a method for recording foreign currency transactions, but MDB does not independently convert foreign currency, determine the appropriate exchange rate or account for all tax or accounting consequences of foreign currency transactions.
You are responsible for determining and using an appropriate exchange rate and Canadian-dollar value.
8. No Professional Services Engagement
Purchasing or using MDB does not create a professional services engagement with Grow CPA.
Your purchase does not include individualized:
• accounting services;
• bookkeeping services;
• tax advice;
• tax preparation;
• financial advice; or
• business advisory services.
Although Grow CPA LLP is a professional accounting firm and members of our team hold Chartered Professional Accountant designations, information contained in MDB or its training materials is general and educational in nature.
A professional engagement with Grow CPA exists only where Grow CPA and a client have separately agreed to the scope and terms of that engagement.
9. Technical Support
Your purchase includes reasonable technical and troubleshooting support relating to the operation of MDB.
For example, we may assist with questions about:
• accessing the Product;
• using the template as designed; or
• resolving an apparent technical problem with the template.
Technical support does not include:
• reviewing or correcting your bookkeeping records;
• interpreting your financial information;
• transaction-by-transaction bookkeeping advice;
• calculating or confirming your taxes;
• reviewing tax filings;
• evaluating the accounting treatment of specific transactions;
• preparing tax returns; or
• individualized accounting, tax, financial or business advice.
Questions requiring Grow CPA to interpret your financial information, assess your bookkeeping, determine tax treatment or provide individualized professional advice are outside the scope of the Product and may require a separate professional engagement.
10. Separate Professional Services
If you later ask Grow CPA to:
• review or assess your bookkeeping;
• confirm a GST/HST amount;
• determine the treatment of a specific transaction;
• prepare or review a tax return;
• perform tax planning;
• correct your records; or
• provide individualized accounting, tax or advisory services,
that work is outside the scope of MDB.
Any such work may require a separate engagement with its own scope, fees and terms.
Grow CPA is not required to provide additional professional services solely because you purchased MDB.
11. Updates and Changes in Tax Law
Your purchase is for the version of MDB provided to you at the time of purchase.
Grow CPA does not promise or undertake to provide future updates to MDB, including updates resulting from changes in tax rates, tax legislation, administrative policies, accounting requirements or other laws or regulations.
You are responsible for reviewing and updating tax rates or other user-adjustable information in your copy of MDB as required.
You may continue using your copy of MDB for as long as it remains functional for your purposes, but you are responsible for ensuring that the information, rates and treatment you apply remain appropriate and current.
12. Training Video Access
Training videos and other hosted educational materials are provided through links or online platforms controlled by Grow CPA or third-party providers.
You may access these materials for as long as Grow CPA continues to host and make them available.
Purchase of MDB does not include a promise of permanent or lifetime access to hosted training videos.
Grow CPA may update, replace, relocate or discontinue hosted training materials in the future without being required to provide an alternative copy.
Your right to continue using the MDB Google Sheets template you have copied into your own Google account is separate from your access to hosted training materials.
13. Your Data and Google Account
Your working copy of MDB is maintained within your own Google account.
Grow CPA does not have access to the bookkeeping or financial information you enter into your personal copy of MDB unless you separately and intentionally provide that information to us.
You are responsible for maintaining, securing and backing up your Google account, your MDB file and your business records.
Grow CPA is not responsible for loss of data or access resulting from your Google account, accidental deletion, unauthorized access, changes made by you or your team, a failure by a third-party service provider or any other event outside Grow CPA’s reasonable control.
Any personal information Grow CPA collects directly from you in connection with your purchase, payment, support requests or communications will be handled in accordance with our applicable privacy practices and legal obligations.
14. Licence and Permitted Use
Your purchase gives you a limited, non-exclusive, non-transferable licence to use MDB for one business only.
You may allow your employees or contractors to access and use MDB where they are doing so solely for the internal bookkeeping or administration of that same business.
Your purchase does not transfer ownership of MDB or any of Grow CPA’s intellectual property to you.
You may not:
• use one purchase of MDB for more than one business;
• provide MDB to another business;
• share, sell, sublicense, redistribute or give away the Product;
• publish or make the Product publicly available;
• reproduce MDB for resale or distribution;
• remove Grow CPA ownership or copyright notices;
• use MDB to provide bookkeeping, accounting, consulting or other services to clients or third parties; or
• use one copy of MDB across multiple clients or businesses.
Bookkeepers, accountants and other service providers may not purchase one copy of MDB and use or reproduce it for their clients.
A separate purchase and licence is required for each business using MDB.
All intellectual property rights in MDB, its design, formulas, training materials, videos and related materials remain the property of Grow CPA LLP or its licensors.
15. Changes to the Template
MDB contains formulas and other functionality designed to work together.
Although you may enter information and use any customization features intentionally provided within the Product, changing formulas, protected areas, structure or other underlying functionality may cause the Product to operate incorrectly.
Grow CPA is not responsible for errors, inaccurate calculations or loss of functionality resulting from changes made by you or another person to the Product.
Technical support may not be available for a copy of MDB that has been materially altered from its original design.
16. Fees and Refunds
The purchase price is the amount shown at checkout and is charged in Canadian dollars unless otherwise expressly stated.
Because MDB is a digital product and access is provided following purchase, all sales are final and no refunds are provided, except where a refund or other remedy is required by applicable law.
We encourage you to review the Product description and these Terms carefully before purchasing.
If you experience a technical issue with the Product, please contact Grow CPA so that we can reasonably attempt to troubleshoot the issue.
17. No Guarantee of Results
MDB is a tool designed to assist you with maintaining bookkeeping records and understanding certain financial information.
Grow CPA does not guarantee that use of MDB will:
• eliminate bookkeeping or tax errors;
• result in accurate tax filings or remittances;
• identify every deductible expense or tax-saving opportunity;
• prevent an audit, review, reassessment, penalty or interest charge;
• produce any particular tax, financial or business outcome; or
• be suitable for every business or transaction.
Your results will depend in part on the accuracy and completeness of the information you enter and on the suitability of MDB for your circumstances.
18. Disclaimer and Limitation of Liability
To the fullest extent permitted by applicable law, MDB and the related training materials are provided on an “as is” and “as available” basis without warranties or guarantees of any kind, express or implied.
Grow CPA is not responsible for losses resulting from:
• inaccurate, incomplete or incorrectly categorized information entered into MDB;
• incorrect or outdated tax rates;
• changes in tax law, accounting requirements or government policies;
• reliance on estimated tax or financial amounts;
• foreign currency conversions;
• modification of the Product;
• failure to maintain appropriate records or supporting documentation;
• use of MDB for a business or transaction for which it is not appropriate;
• loss or corruption of data;
• interruption or discontinuation of third-party platforms; or
• decisions made based on information generated by or contained in MDB.
To the fullest extent permitted by applicable law, Grow CPA will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunity, anticipated savings, data or goodwill arising from or related to your purchase or use of MDB.
To the fullest extent permitted by applicable law, Grow CPA’s total aggregate liability arising out of or relating to MDB or these Terms will not exceed the amount you paid to Grow CPA for your purchase of MDB.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
19. Indemnity for Unauthorized Use
You agree to indemnify and hold Grow CPA LLP and its partners, employees and contractors harmless from third-party claims, losses, damages and reasonable costs arising directly from:
• your unauthorized sale, distribution, sharing or reproduction of MDB;
• your use of MDB to provide services to third parties in violation of these Terms; or
• your infringement of Grow CPA’s intellectual property rights.
20. Termination for Breach
If you materially breach these Terms, including the licence and intellectual property restrictions, Grow CPA may terminate your right to access any hosted components of MDB, including training materials and support.
Termination does not transfer or reduce Grow CPA’s intellectual property rights and does not prevent Grow CPA from pursuing any remedy available under applicable law for unauthorized reproduction, distribution or use of the Product.
21. Third-Party Services
MDB relies on third-party technology, including Google Sheets and platforms that may be used for payment processing, email delivery or video hosting.
Grow CPA does not control these third-party services and cannot guarantee their continued availability, compatibility, security or functionality.
Your use of third-party services is also subject to the applicable provider’s own terms and policies.
22. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Subject to any rights or remedies that cannot lawfully be restricted, disputes arising from these Terms or MDB will be subject to the jurisdiction of the courts of Ontario.
Before commencing court proceedings, the parties agree to make reasonable good-faith efforts to resolve the dispute directly.
23. General Terms
Entire Agreement. These Terms, together with the information presented at checkout, form the agreement between you and Grow CPA relating to your purchase and use of MDB.
No Assignment. You may not transfer or assign your rights under these Terms to another person or business without Grow CPA’s prior written consent.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
No Waiver. A failure by Grow CPA to enforce any provision of these Terms does not waive our right to enforce it later.
Survival. Provisions relating to intellectual property, payment, disclaimers, limitation of liability, indemnity and any other provisions that by their nature should continue will survive termination of these Terms.
24. Changes to These Terms
Grow CPA may update these Terms from time to time for future purchases or continued access to hosted components of MDB.
The Terms accepted by you at the time of purchase will govern your purchase and licence to the version of MDB you received, unless a change is required by law or you expressly agree to updated terms.
Changes to these Terms do not create an obligation for Grow CPA to update your copy of MDB or provide new versions of the Product.
25. Electronic Acceptance
By checking the box confirming that you have read and agree to these Terms and completing your purchase, you accept and agree to be bound by these Terms.
No separate handwritten or electronic signature is required unless Grow CPA requests one for a separate professional engagement.
