CLARITY CALL TERMS AND CONDITIONS
Last Updated: September 30, 2026
These Terms and Conditions (“Terms”) form an agreement between Grow CPA LLP (“Grow CPA”, “we”, “us” or “our”) and the individual or business purchasing a Clarity Call (“you” or “your”).
By purchasing a Clarity Call, checking the box confirming your acceptance of these Terms, and completing payment, you acknowledge that you have read, understood and agreed to be bound by these Terms.
1. The Clarity Call
A Clarity Call is a one-time consultation provided by Grow CPA LLP.
The Clarity Call will generally be delivered by Ashli Phippen or Martina Morton, or another Grow CPA professional where appropriate.
Unless otherwise stated at the time of purchase, the Clarity Call includes:
• one consultation of approximately 50 minutes;
• delivery by video conference, telephone or another agreed method;
• consideration of information or documents you provide in advance for the purpose of preparing for the call; and
• discussion of the accounting, tax, financial or business questions you bring to the consultation that can reasonably be addressed within the scope and time available.
The scope of the Clarity Call is limited to the matters discussed during the consultation and any materials expressly provided in connection with it.
2. Purpose of the Clarity Call
The purpose of a Clarity Call is to provide professional input, explanation, guidance and direction based on the information you provide and the questions you ask.
The Clarity Call is intended to help you better understand an issue, identify potential considerations, discuss possible options or determine appropriate next steps.
A Clarity Call does not guarantee that every question can be fully resolved during the scheduled time.
Some matters may require additional information, research, calculations, analysis or a separate professional engagement before Grow CPA can provide a complete or responsible answer.
3. Information You Provide
Grow CPA is entitled to rely on the accuracy and completeness of information provided by you or by another person on your behalf.
Unless we expressly agree otherwise, we will not independently verify, audit, confirm or authenticate the financial information, documents, facts, assumptions or representations you provide.
You are responsible for:
• providing complete and accurate information relevant to the matters you wish to discuss;
• notifying us of important facts, changes or circumstances that may affect the advice or information provided;
• ensuring that documents supplied to us are complete and current; and
• determining how you use or act on the information discussed during the Clarity Call.
Our ability to provide useful guidance may be limited where information is incomplete, inaccurate, unclear or provided too late for us to reasonably consider before the call.
4. Documents Provided Before the Call
You may provide documents or other information before the Clarity Call for Grow CPA to consider in preparation for the consultation.
The fee for the Clarity Call includes reasonable time spent considering materials provided in advance where those materials are relevant to the questions you wish to discuss.
Providing documents to Grow CPA as part of a Clarity Call does not constitute:
• an audit;
• a review engagement;
• a compilation engagement;
• an assurance engagement;
• a formal verification of the information contained in the documents; or
• an independent assessment of whether the documents are complete or correct.
Documents are considered solely for the purpose of assisting with the Clarity Call.
If the quantity, complexity or nature of the documents requires work beyond what can reasonably be included in the Clarity Call fee, Grow CPA may advise you that additional work or a separate engagement is required.
5. Scope of Services
A Clarity Call is limited to the consultation described in these Terms.
Unless separately agreed in writing, a Clarity Call does not include:
• preparation or filing of income tax returns;
• preparation or filing of GST/HST or other sales tax returns;
• bookkeeping;
• payroll processing;
• preparation of financial statements;
• audit, review, compilation or other assurance services;
• formal tax planning calculations;
• preparation of written reports, memoranda or opinions;
• implementation of recommendations;
• correspondence with tax authorities or other third parties;
• ongoing accounting, tax or advisory services; or
• ongoing email or telephone support following the call.
Any additional service will require separate agreement on scope, timing and fees.
6. Questions Requiring Additional Research or Work
Accounting, tax and business matters can be complex.
If, during or after the Clarity Call, Grow CPA determines that a question cannot be responsibly answered without additional research, calculations, analysis or professional work, we may advise you of that limitation.
Where additional work may assist, Grow CPA may offer to complete that work for an additional fee.
We will explain the proposed additional work and applicable fee before beginning it.
You will have no obligation to purchase additional services, and Grow CPA will not perform additional chargeable work without your agreement.
Some matters may fall outside Grow CPA’s scope of practice or expertise. Where appropriate, we may recommend that you seek assistance from another professional.
7. No Guarantee of a Particular Answer or Outcome
Grow CPA does not guarantee that a Clarity Call will result in:
• a particular tax result;
• tax savings;
• a reduction in taxes owing;
• increased profit or revenue;
• a particular financial or business outcome;
• a specific recommendation;
• confirmation that a proposed transaction or strategy is appropriate; or
• resolution of every question raised.
Professional guidance depends on the facts and information available at the time.
Different facts, additional information, changes in law or administrative policy, or further analysis may result in a different conclusion.
8. Tax and Accounting Matters
Where tax or accounting matters are discussed, any guidance provided is based on:
• the information you provide;
• the questions presented;
• the law, administrative guidance and professional knowledge reasonably applicable at the time; and
• the limited scope of the Clarity Call.
The Clarity Call is not designed to identify every possible tax, accounting, compliance, financial or business issue that may affect you or your business.
Unless specifically included in a separate engagement, Grow CPA is not responsible for identifying:
• errors or omissions in your accounting records;
• fraud;
• non-compliance;
• unrecorded transactions;
• incorrect tax filings;
• GST/HST errors;
• provincial sales tax issues;
• payroll compliance issues;
• foreign tax matters;
• customs or excise matters; or
• other risks not specifically raised or apparent from the information provided.
You remain responsible for your tax filings, accounting records, remittances, business decisions and legal obligations.
9. Use of Information and Any Follow-Up Correspondence
You are responsible for deciding whether and how to act on information, explanations, suggestions or recommendations discussed during the Clarity Call.
Grow CPA is not responsible for decisions made without considering additional information, professional advice or changed circumstances that arise after the consultation.
Information provided during the Clarity Call is intended for you and your business in relation to the matters discussed.
Unless Grow CPA expressly agrees otherwise, it should not be relied upon by third parties or applied to another person or business whose facts may differ from yours.
If Grow CPA sends a follow-up email or other written communication relating to your Clarity Call, it forms part of the same limited consultation and is subject to these Terms, including the scope limitations, reliance on information you provide, no guarantee of outcomes and the limitation of liability in Section 19. Such correspondence is not necessarily a complete record of the discussion and does not expand the scope of the Clarity Call or create an ongoing engagement. Providing it does not commit Grow CPA to further correspondence or services unless separately agreed in writing.
10. Fees and Payment
The fee for the Clarity Call is the amount shown at checkout, plus applicable sales taxes.
Payment is due in full at the time of booking.
Your appointment is not confirmed until payment has been successfully processed.
Unless separately authorized by you, Grow CPA will not charge your payment method for additional professional services beyond the Clarity Call.
11. Scheduling and Rescheduling
Clarity Calls are scheduled Monday to Friday between 9:00 a.m. and 3:00 p.m. Eastern Time, subject to availability. All calls must be scheduled to finish no later than 3:00 p.m. Eastern Time.
These hours apply to initial bookings and rescheduled appointments. Please ensure you can attend within these hours before purchasing.
You may reschedule your Clarity Call once at no additional charge by providing at least 24 hours’ notice before the scheduled start time.
After one reschedule, Grow CPA is not required to reschedule the appointment again and may require a new booking and payment.
Requests made less than 24 hours before the scheduled start time do not qualify for complimentary rescheduling.
Grow CPA may, in its discretion, make exceptions in unusual or exceptional circumstances.
If Grow CPA needs to reschedule your appointment, we will provide reasonable notice where possible and arrange an alternate time with you. A reschedule initiated by Grow CPA does not count toward your one complimentary reschedule. If a suitable replacement appointment cannot be arranged, the refund provisions in Section 12 apply.
12. Cancellation and Refund Policy
If you cancel your Clarity Call at least 24 hours before the scheduled start time, you will receive a refund of the amount paid, less a 10% administrative fee.
If you cancel less than 24 hours before the scheduled start time, no refund will be provided.
If you do not attend your scheduled Clarity Call, no refund will be provided.
If, before an initial appointment has been agreed, you cannot attend reasonable appointment options offered by Grow CPA within the scheduling hours in Section 11, you may cancel and receive a refund of the amount paid, less a 10% administrative fee.
Once an appointment has been agreed, the rescheduling provisions in Section 11 and the cancellation and no-show provisions above apply.
If Grow CPA cannot offer reasonable appointment availability within those hours, or cancels your appointment and cannot arrange a suitable replacement with you, you will receive a full refund for the Clarity Call without any administrative deduction.
Any refund required by applicable law will be provided regardless of the above policy.
13. Late Arrivals and No-Shows
You are expected to attend your Clarity Call at the scheduled time.
Grow CPA will generally allow a grace period of up to 15 minutes.
If you have not joined the call within 15 minutes of the scheduled start time, Grow CPA may treat the appointment as a no-show.
If the call proceeds after you arrive late, the consultation will still end at the originally scheduled end time unless Grow CPA chooses to extend it.
Grow CPA is not required to extend the call or provide additional time because of a late arrival.
14. Confidentiality
Grow CPA is subject to professional obligations regarding confidentiality.
We will protect confidential client information obtained in connection with the Clarity Call and will not disclose it except where:
• you authorize us to do so;
• disclosure is required or permitted by law;
• disclosure is required by professional standards, regulatory obligations or a court or governmental authority; or
• the information is already lawfully public.
You also agree to keep confidential any non-public proprietary materials, internal methodologies or confidential business information of Grow CPA that may be provided to you in connection with the Clarity Call.
Confidentiality obligations that by their nature should continue after the Clarity Call will survive completion of the service.
15. Privacy and Technology
Grow CPA may collect personal and business information that is reasonably necessary to schedule, prepare for and provide the Clarity Call.
This may include:
• your name and contact information;
• payment and billing information;
• financial and business information;
• tax information;
• documents you choose to provide; and
• information discussed during the consultation.
Personal information will be handled in accordance with Grow CPA’s applicable privacy practices and legal obligations.
The Clarity Call may be delivered using third-party technology such as video conferencing, email, file sharing, scheduling, payment platforms and the AI tools described below.
Subject to your consent, Grow CPA may use Google Gemini through its business account to generate meeting notes and ChatGPT Business, provided by OpenAI, to help prepare correspondence relating to the Clarity Call. These tools assist our work and do not replace our professional judgment.
For these purposes, Google may process the call content to generate notes, and relevant notes and client information may be submitted to OpenAI to assist with drafting. The information processed may include your name, matters discussed during the call and financial, tax or other personal or business information you provide. We will limit the information used to what is reasonably needed for the relevant purpose.
Before activating AI note-taking or submitting your information to an AI drafting tool, we will explain the proposed use and obtain your consent. For AI note-taking during the call, we will also obtain the consent of any other participants. Accepting these Terms does not, by itself, authorize us to activate these optional AI uses.
You may decline either AI use without affecting your ability to receive the Clarity Call. If you decline AI note-taking, we will take notes manually. If you decline AI-assisted drafting, we will not submit your information to an AI tool for that purpose. You may ask us to stop further optional AI use at any time.
Third-party platforms have their own terms and privacy practices, and Grow CPA cannot guarantee their uninterrupted availability or security. Our use of these platforms does not remove our applicable confidentiality, privacy or professional obligations.
16. AI-Generated Notes and Recordings
AI-generated notes are an internal aid. They may contain errors or omissions and are not a verbatim or complete record of the discussion. Raw AI-generated notes are not included as a client deliverable. Any AI-assisted content sent to you will be checked by Grow CPA before it is sent.
Generating AI notes involves processing the call's audio. This is distinct from creating a separate audio or video recording or a verbatim transcript. Grow CPA does not ordinarily record Clarity Calls or enable a separate transcription feature.
You may not record, photograph, screen-capture or otherwise reproduce the Clarity Call without Grow CPA’s prior consent.
If Grow CPA proposes to create an audio or video recording or a separate transcript, we will explain its purpose and obtain your consent, and that of any other participants, before doing so.
If Grow CPA provides a recording or other material following the call, it is provided for your own internal use and may not be copied, published, distributed or shared with third parties without our permission.
17. Intellectual Property
Any templates, worksheets, written resources, guides or other proprietary materials provided by Grow CPA in connection with the Clarity Call remain the intellectual property of Grow CPA or the applicable rights holder.
Where materials are provided for your use, you receive a limited, non-exclusive and non-transferable licence to use them for your own internal personal or business purposes.
You may not sell, reproduce, distribute, publish, sublicense or commercially exploit Grow CPA materials without prior written permission.
18. No Warranty
The Clarity Call is provided as a professional consultation based on the information available at the time.
To the fullest extent permitted by law, Grow CPA does not provide warranties or guarantees regarding the completeness, suitability or future accuracy of any information discussed during the Clarity Call.
Accounting standards, tax legislation, administrative positions, financial circumstances and business facts may change after the consultation.
Grow CPA has no ongoing obligation to update information provided during a completed Clarity Call unless separately engaged to do so.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Grow CPA will not be liable for indirect, incidental, consequential, exemplary or punitive damages arising from or related to the Clarity Call or any related follow-up correspondence.
This includes, without limitation, loss of profits, loss of business opportunity, loss of anticipated savings or other consequential financial losses.
Grow CPA is not responsible for losses arising from:
• inaccurate or incomplete information provided by you or on your behalf;
• facts or documents not disclosed to us;
• reliance on information after circumstances or applicable law have materially changed;
• use of the information for purposes or persons outside the scope of the Clarity Call; or
• your decision to act, or not act, on information discussed during the consultation.
To the fullest extent permitted by applicable law, Grow CPA's total aggregate liability arising out of or relating to the Clarity Call, including any related follow-up correspondence, will not exceed the amount you paid for the Clarity Call.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
20. Separate Engagements
A Clarity Call does not automatically create an ongoing professional engagement with Grow CPA.
If you wish to retain Grow CPA for additional accounting, tax, advisory, bookkeeping, assurance or other services, those services may require a separate engagement letter or agreement.
Any separate engagement will have its own scope, responsibilities, fees and terms.
21. Professional Relationship
The Clarity Call creates a limited professional relationship between you and Grow CPA solely for the purpose and scope described in these Terms.
Nothing in these Terms creates an employment, partnership or joint venture relationship between you and Grow CPA.
The individual Grow CPA professional delivering the Clarity Call is providing the service on behalf of Grow CPA LLP.
22. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Subject to any rights or remedies that cannot legally be restricted, disputes arising from the Clarity Call or these Terms will be subject to the jurisdiction of the courts of Ontario.
Before starting court proceedings, the parties agree to make reasonable good-faith efforts to resolve any dispute directly.
23. Force Majeure
Grow CPA will not be responsible for a delay or inability to provide the Clarity Call caused by circumstances beyond our reasonable control, including serious illness, emergency, severe weather, internet or technology failures, natural disasters, government restrictions or other unexpected events.
Where such an event prevents Grow CPA from providing the Clarity Call, we will make reasonable efforts to reschedule the appointment.
If Grow CPA is unable to provide the Clarity Call and a reasonable rescheduled appointment cannot be arranged, amounts paid for services not provided will be refunded without any administrative deduction, in accordance with Section 12.
24. General Terms
Entire Agreement. These Terms, together with the information presented at checkout, form the agreement between you and Grow CPA relating to the Clarity Call.
No Assignment. You may not transfer your rights under these Terms to another person or business without Grow CPA’s prior written consent.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
No Waiver. A failure by Grow CPA to enforce a provision of these Terms does not waive our right to enforce it later.
Amendments. Any material change to the scope of an already purchased Clarity Call must be agreed to by both parties.
Survival. Provisions relating to confidentiality, intellectual property, payment obligations, limitation of liability and any other terms that by their nature should survive will continue after completion or termination of the Clarity Call.
25. Electronic Acceptance
By checking the box confirming that you have read and agree to these Terms and completing your purchase, you accept and agree to be bound by these Terms.
No separate handwritten or electronic signature is required unless Grow CPA requests one for a separate engagement.
26. Contact
Questions regarding the Clarity Call, these Terms, rescheduling or cancellation may be directed to Grow CPA LLP using the contact information provided on our website.

• one consultation of approximately 50 minutes;
• delivery by video conference, telephone or another agreed method;
• providing complete and accurate information relevant to the matters you wish to discuss;
• notifying us of important facts, changes or circumstances that may affect the advice or information provided;
• an audit;
• a review engagement;
• a compilation engagement;
• an assurance engagement;
• preparation or filing of income tax returns;
• preparation or filing of GST/HST or other sales tax returns;
• bookkeeping;
• payroll processing;
• preparation of financial statements;
• audit, review, compilation or other assurance services;
• formal tax planning calculations;
• preparation of written reports, memoranda or opinions;
• implementation of recommendations;
• correspondence with tax authorities or other third parties;
• a particular tax result;
• tax savings;
• a reduction in taxes owing;
• increased profit or revenue;
• a particular financial or business outcome;
• a specific recommendation;
• the information you provide;
• the questions presented;
• errors or omissions in your accounting records;
• fraud;
• non-compliance;
• unrecorded transactions;
• incorrect tax filings;
• GST/HST errors;
• provincial sales tax issues;
• payroll compliance issues;
• foreign tax matters;
• you authorize us to do so;
• disclosure is required or permitted by law;
• your name and contact information;
• payment and billing information;
• financial and business information;
• tax information;
• inaccurate or incomplete information provided by you or on your behalf;
• facts or documents not disclosed to us;
• reliance on information after circumstances or applicable law have materially changed;
